Overview

Welcome to The Grim Stitchery. The terms "we", "us" and "our" refer to The Grim Stitchery, which operates this store and website, including all related information, content, features, tools, products and services (the "Services"). The Grim Stitchery is powered by Shopify and uses Printful as its fulfilment partner. Every item we sell is made to order, then printed and shipped by Printful.

These terms and conditions, together with any policies referenced within them (these "Terms of Service" or "Terms"), describe your rights and responsibilities when you use the Services. Please read them carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.

By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy (https://thegrimstitchery.com/policies/privacy-policy). If you do not agree, you should not use or access our Services. Nothing in these Terms affects the mandatory consumer protection rights you hold under the law of your country of residence.

Section 1 — Access and Account

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your country or region of residence, or that you have the consent of a parent or guardian and are using the Services under their supervision.

To use the Services, including browsing our store or purchasing any product, you may be asked to provide certain information, such as your email address and billing, payment and shipping details. You represent that all information you provide is correct, current and complete, and that you have the rights necessary to provide it.

You are solely responsible for maintaining the security of your account credentials and for all activity on your account. You may not transfer, sell, assign or license your account to any other person.

Section 2 — Our Products

All products are made to order. We make every effort to represent our products accurately, but colours and appearance may differ from how they display on your screen, depending on your device and its settings. Minor variations in colour, placement or scale may also occur due to the nature of print-on-demand production and the materials used.

All product descriptions are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time and may limit the quantities we offer to any person, region or jurisdiction on a case-by-case basis. Nothing in this section affects the statutory guarantee of conformity to which you are entitled as a consumer.

Section 3 — Orders

When you place an order, you are making an offer to purchase. We reserve the right to accept or decline your order at our discretion. Your order is not accepted until we confirm acceptance, and we must receive and process your payment before your order is accepted. Please review your order carefully before submitting, as we may be unable to accommodate cancellation requests once production of a made-to-order item has begun. This does not affect your statutory right of withdrawal, which is set out in full in our Returns, Refunds and Right of Withdrawal policy (https://thegrimstitchery.com/policies/refund-policy).

If we do not accept, change or cancel an order, we will attempt to notify you using the email address, billing address or phone number you provided at the time of the order.

You represent that your purchases are for your own personal or household use and not for commercial resale.

Section 4 — Prices and Payment

Prices are shown in your selected currency and represent the final amount payable for each item. The Grim Stitchery is not registered for VAT, so no separate VAT is added to the prices shown. Delivery is charged at our flat rate and is added at checkout. For deliveries outside the European Union, import duties, customs charges or local taxes may apply on arrival and are your responsibility.

Prices, discounts and promotions are subject to change without notice. The price charged will be the price in effect when the order is placed, as set out in your order confirmation. Where a promotion is governed by its own separate terms and those conflict with these Terms, the promotion terms will govern.

Payment must be completed at checkout through the secure options provided by Shopify. No order is produced until payment has been received. You represent that any payment information you provide is true, correct and complete, that you are authorised to use the payment method, and that you will pay the charges incurred at the posted prices, including delivery.

Section 5 — Shipping and Delivery

Orders are fulfilled and shipped by Printful, from the facility best placed to serve your location where possible. All delivery times are estimates only and are not guaranteed, and delivery schedules may vary with location and production times. We are not responsible for delays caused by shipping carriers, customs processing or other events outside our control. This does not affect your statutory rights where delivery is significantly delayed.

Risk of loss or damage to the goods passes to you when you, or a person you nominate other than the carrier, take physical possession of the goods.

Section 6 — Intellectual Property

Our Services, including all trademarks, brands, text, displays, images, graphics, video and audio, and the design, selection and arrangement thereof, are owned by The Grim Stitchery, its affiliates or its licensors, and are protected by applicable intellectual property laws.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store or transmit any material on the Services without our prior written consent. All designs, artwork, text and images displayed on this site are the property of The Grim Stitchery unless otherwise stated. Except as expressly provided, nothing in these Terms grants you any licence or right under any patent, trademark, copyright or other intellectual property of The Grim Stitchery, Shopify or any third party. All rights not expressly granted are reserved.

The Grim Stitchery's names, logos, product and service names, designs and slogans are trademarks of The Grim Stitchery or its licensors, and you must not use them without our prior written permission. Shopify's name, logo and marks are trademarks of Shopify. All other marks on the Services belong to their respective owners.

Section 7 — Optional Tools and Third-Party Links

You may be given access to third-party tools that we neither monitor nor control. We provide access to such tools "as is" and "as available", without warranties of any kind and without endorsement, and we accept no liability arising from your use of them. Any use of optional third-party tools is entirely at your own risk, and you should familiarise yourself with the relevant provider's terms.

The Services may contain links to websites operated by third parties. We are not responsible for examining or evaluating their content or accuracy, and we are not liable for any harm arising from your access to third-party sites or your dealings with them. Please review the policies and practices of any third party before engaging with them. Any complaints regarding third-party products or services should be directed to that third party.

Section 8 — Relationship with Shopify

The Grim Stitchery is powered by Shopify, which enables us to provide the Services to you. Any sales and purchases you make are made directly with The Grim Stitchery. You acknowledge that Shopify is not responsible for any aspect of the sale between you and The Grim Stitchery, including any injury, damage or loss resulting from products purchased, and you release Shopify and its affiliates from all claims arising from your transactions with us.

Section 9 — Privacy

All personal information we collect through the Services is subject to our Privacy Policy (https://thegrimstitchery.com/policies/privacy-policy), and certain information may also be subject to Shopify's Privacy Policy (https://www.shopify.com/legal/privacy). Because the Services are hosted by Shopify, information you submit is transmitted to and processed by Shopify, and may be shared with partners located in countries other than your own, in order to provide the Services. Section 10 — Feedback

If you submit any ideas, suggestions, feedback, reviews or other content ("Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free licence to use, reproduce, modify, publish, distribute and display that Feedback in any medium for any purpose, including commercial use, for example to operate, evaluate, improve and promote the Services.

You represent that you own or have all necessary rights to your Feedback, that it will comply with these Terms, and that it will not infringe the rights of any third party or contain unlawful, abusive, obscene or malicious material. You may not use a false identity or mislead us as to the origin of any Feedback. We are under no obligation to keep Feedback confidential, to pay for it, or to respond to it, and we may remove Feedback we consider objectionable or unlawful at our discretion.

Section 11 — Errors, Inaccuracies and Omissions

Occasionally there may be information on the Services that contains typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, shipping charges, transit times or availability. We reserve the right to correct any such errors and to change or update information, or to cancel orders where information was inaccurate, at any time without prior notice, including after you have submitted your order.

Section 12 — Prohibited Uses

You may use the Services for lawful purposes only. You may not use the Services: for any unlawful or malicious purpose; to violate any applicable laws or regulations; to infringe our intellectual property rights or those of others; to harass, abuse, defame or harm any person; to transmit false or misleading information; to send unsolicited advertising or spam; to impersonate any person or entity; or to engage in any conduct that restricts anyone's use of the Services or that may harm The Grim Stitchery, Shopify or other users.

You also agree not to: upload or transmit viruses or malicious code; reproduce, duplicate, resell or exploit any portion of the Services; collect or track the personal information of others; spam, phish or pretext the Services; use any robot, spider, scraper, data-extraction tool, AI tool such as an agentic AI, or other automated means to access the Services; or interfere with, bypass or circumvent the security or access-control measures we employ. We may suspend, disable or terminate your account at any time, without notice, if we determine that you have breached these Terms.

Section 13 — Agents

This section applies if you use, enable or cause the deployment of an Agent to interact with the Services. "Agent" means any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, a person or entity, without direct supervision.

No Agent may access or interact with the Services unless it identifies itself and operates in accordance with this section at all times, and no Agent may access the Services where we have requested it to refrain. We may limit, including by technical measures, whether and how any Agent interacts with the Services. Agents must: identify in all HTTP or HTTPS requests that the request comes from an Agent, by including "Agent/[agent name]" in the user agent string; not conceal or obfuscate that the interaction comes from an Agent, including by mimicking human behaviour or by completing or circumventing measures intended to distinguish computers from humans; respond truthfully to any prompt seeking to determine whether the interaction is from a human or a computer; and not circumvent any measure intended to block, limit or control how Agents interact with the Services.

Section 14 — Disclaimer of Warranties

The information presented through the Services is made available for general information only. We do not warrant its accuracy, completeness or usefulness, and any reliance you place on it is at your own risk.

Except as expressly stated by us, the Services and all products offered through them are provided "as is" and "as available", without representations, warranties or conditions of any kind, whether express or implied. We do not guarantee that your use of the Services will be uninterrupted, timely, secure or error-free. Nothing in this section excludes or limits the statutory guarantee of conformity, or any other mandatory consumer right, to which you are entitled under applicable European Union and Danish law, and which cannot be waived.

Section 15 — Limitation of Liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

Subject to the paragraph above, and to the fullest extent permitted by law, The Grim Stitchery and its owners, partners, affiliates, agents, contractors and service providers, and those of Shopify, will not be liable for any indirect, incidental, special, punitive or consequential damages of any kind, including lost profits, lost revenue, loss of data or replacement costs, arising from your use of the Services or any product purchased through them. Subject to the first paragraph of this section, our total liability to you for any claim arising from a purchase will not exceed the amount you paid for that purchase.

Section 16 — Indemnification

You agree to indemnify and hold harmless The Grim Stitchery, Shopify and our affiliates, officers, agents and service providers from any losses, damages, liabilities or claims, including reasonable legal fees, arising out of your unlawful use of the Services, your breach of these Terms, or your infringement of the rights of any third party. This does not require you to indemnify us against liability arising from our own negligence or breach.

Section 17 — Termination

We may terminate this agreement or your access to the Services at our discretion at any time, and you will remain liable for all amounts due up to and including the date of termination. The following sections survive termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver and Entire Agreement, Assignment, Governing Law, Privacy, and any other provision that by its nature should survive.

Section 18 — Severability, Waiver and Entire Agreement

If any provision of these Terms is found to be unlawful, void or unenforceable, that provision will be enforced to the fullest extent permitted and the unenforceable part will be severed, without affecting the validity of the remaining provisions.

Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of it. These Terms, together with any policies posted on this site, constitute the entire agreement between you and us and govern your use of the Services, superseding any prior agreements. Any ambiguity in interpretation will not be construed against the drafting party.

Section 19 — Assignment

You may not transfer or assign these Terms or any of your rights or obligations under them without our prior written consent, and any attempt to do so is void. We may transfer or assign these Terms and our rights and obligations without your consent, provided this does not reduce the protections to which you are entitled as a consumer.

Section 20 — Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of Denmark. As a consumer resident in the European Union, you also retain the protection of the mandatory consumer laws of your country of residence, and nothing in these Terms deprives you of that protection.

The courts of Aarhus, Denmark have jurisdiction over disputes arising from these Terms or your use of the Services, except that, where you are a consumer, you may bring proceedings in the courts of your own country of residence, and may be sued only in those courts, in accordance with applicable European Union law.

If you have a complaint that we have not been able to resolve directly, you may refer it to the competent consumer dispute resolution body in your country of residence. Consumers within the European Union can find their national body through the European Commission's list of consumer redress bodies.

Section 21 — Changes to These Terms

You can review the most current version of these Terms at any time on this page. We reserve the right to update, change or replace any part of these Terms by posting changes to this website. We will notify you of any material changes in accordance with applicable law, and such changes will take effect on the date specified in the notice. Your continued use of the Services after changes take effect constitutes acceptance of them.

The headings in this agreement are for convenience only and do not affect the interpretation of these Terms.
